Savvy Dealer, Inc. | Effective: November 3, 2026 | Last Updated: November 3, 2026
These Terms of Use (these "Terms") are a binding agreement between you and Savvy Dealer, Inc., a Florida corporation, 2705 Wilson Road, Land O' Lakes, FL 34638 ("Savvy Dealer," "we," "us," or "our"). They govern your access to and use of every website, web application, portal, dashboard, tool, report, and online service that Savvy Dealer owns, operates, or makes available, including savvydealer.com, savvydealer.ai, portal.savvydealer.com, queue.savvydealer.ai, facebook.savvydealer.com, any other subdomain of those domains, any dealer website administration or content-management interface we provide, and any report, audit, dashboard, export, or file we deliver (together, the "Platform").
Please read these Terms carefully. By clicking "I agree," by logging in, or by accessing or using any part of the Platform, you agree to these Terms. If you do not agree, do not access or use the Platform.
1. Who These Terms Apply To
1.1 Everyone. These Terms apply to every person and entity that accesses the Platform, including public visitors, dealership customers and their employees, officers, and contractors, any agency, consultant, vendor, or other third party that accesses the Platform on behalf of or with credentials provided by a dealership, and any person who accesses the Platform without authorization.
1.2 Customers with a signed agreement. If you or the business you work for has signed a Savvy Dealer Subscription Agreement, your use of the Services is also governed by the Savvy Dealer End User Agreement posted at savvydealer.com/end-user-agreement (together with the Subscription Agreement and any Invoice, the "Customer Agreement"). If these Terms and the Customer Agreement directly conflict, the Customer Agreement controls as to that customer. Where the Customer Agreement is silent, these Terms apply. Capitalized terms used but not defined here have the meaning given in the End User Agreement.
1.3 Using the Platform for a business. If you use the Platform on behalf of a dealership or other business, you represent that you are authorized to accept these Terms for that business, and "you" includes both you and that business. The business is responsible for every person it allows to access the Platform.
2. Accounts and Access
2.1 Credentials are personal. Login credentials are issued to a specific individual. You will not share, sell, transfer, or disclose your credentials, and you will not allow any other person to use your account.
2.2 No third-party access without written approval. You will not give any agency, consultant, marketing vendor, technology vendor, software developer, data company, or other third party access to any non-public part of the Platform, whether by sharing credentials, screen sharing, recordings, or any other means, unless Savvy Dealer has approved that access in writing (email is sufficient) and that third party has accepted these Terms. This section does not restrict a dealership from giving third parties access to advertising, analytics, or other accounts the dealership itself owns, subject to section 4.
2.3 Security. You are responsible for all activity under your account and for keeping your credentials secure. Notify us immediately at support@savvydealer.com of any unauthorized access or suspected compromise.
2.4 Authorization is limited and revocable. Your authorization to access the Platform is limited to the uses these Terms permit. Any access or use that violates these Terms, including any activity described in section 3, is unauthorized, and your authorization to access the Platform ends automatically at the moment of that violation, without notice.
3. Prohibited Conduct
You will not, and will not permit, assist, or encourage any other person to:
- reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, underlying structure, algorithms, models, prompts, data models, scoring or ranking logic, or methodology of any part of the Platform;
- copy, reproduce, adapt, translate, or create derivative works from any part of the Platform, its software, page templates, site architecture, internal-linking structure, structured data, tag-management or measurement configurations, campaign or account structures, report formats, or dashboards, for the purpose of replicating, recreating, or approximating any Savvy Dealer product, service, or methodology;
- use the Platform, or any information, output, report, data, or material obtained from it, to design, build, specify, brief, procure, fund, train, or improve any product, service, or offering that competes with or is substantially similar to any Savvy Dealer product or service, whether for yourself or for any third party, including a replacement agency or vendor;
- access the Platform to monitor its availability, performance, or functionality, or for any benchmarking, competitive-intelligence, or competitive-analysis purpose, or disclose the results of any such activity;
- access any non-public part of the Platform if you are, work for, or are acting on behalf of a competitor of Savvy Dealer, except with our prior written consent;
- use any robot, spider, crawler, scraper, browser-automation tool, AI agent, or other automated means to access, copy, extract, or index any non-public part of the Platform, or to access any public part of the Platform in a manner that exceeds what a human using a standard web browser could reasonably do, except for search-engine crawlers operating in compliance with our robots.txt file;
- bulk download, systematically export, or compile content or data from the Platform, other than exporting your own Customer Data through features we provide for that purpose;
- submit any part of the Platform, or any information, output, or material obtained from it, to any machine-learning model, artificial-intelligence system, or dataset for training, fine-tuning, grounding, or improvement, or to any third-party service whose terms permit it to use submitted content for those purposes;
- access or call any application programming interface, endpoint, or data source of the Platform other than through the interfaces we make available to you, or probe, scan, or test the vulnerability of the Platform, or breach or circumvent any authentication, authorization, rate limit, usage limit, watermark, or other security or technical measure;
- frame, mirror, or proxy any part of the Platform, or remove, obscure, or alter any copyright, trademark, confidentiality, or other proprietary notice or watermark;
- use the Platform to contact, solicit, or contract with any Savvy Dealer vendor, subcontractor, data source, or personnel whose identity or terms you learned through the Platform, for the purpose of bypassing or replacing Savvy Dealer;
- interfere with or disrupt the Platform, its servers, or networks, or upload or transmit any virus, malware, or other harmful code; or
- use the Platform in violation of any applicable law, or to infringe, misappropriate, or violate the rights of any person.
4. Ownership and Your Data
4.1 Savvy Dealer owns the Platform. The Platform and all software, code, designs, page templates, site and content architecture, structured data, tag and measurement configurations, campaign and account structures, prompts, models, algorithms, scoring and ranking logic, methodologies, reports, report formats, dashboards, audits, analyses, recommendations, text, graphics, and other materials made available through it, and all improvements and derivative works of any of them (together, "Savvy Dealer Materials"), are owned by Savvy Dealer or its licensors and are protected by copyright, trademark, trade secret, and other laws. Savvy Dealer Materials are licensed, not sold.
4.2 Your limited license. Subject to these Terms, Savvy Dealer grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform: (a) for public parts, to view them for your personal or internal business information; and (b) for non-public parts, solely for the internal operation and marketing of the dealership(s) you are authorized to access, and only while that dealership has an active Customer Agreement or other authorization from us. All rights not expressly granted are reserved.
4.3 Your data stays yours. Nothing in these Terms changes a dealership's ownership of its own Customer Data (such as its leads, customer records, inventory data, and the historical data in advertising, analytics, or other accounts the dealership owns), as provided in the End User Agreement. You may export and use your own Customer Data. What you may not do is use, copy, or provide to any third party the Savvy Dealer Materials, structures, or methodologies applied to that data in order to replicate them.
4.4 Confidentiality. The non-public parts of the Platform, and all reports, audits, dashboards, analyses, pricing, proposals, and other non-public materials we provide, are Savvy Dealer's confidential information and may include our trade secrets protected under the Florida Uniform Trade Secrets Act, Fla. Stat. sections 688.001 to 688.009, and the Defend Trade Secrets Act, 18 U.S.C. section 1836 et seq. You will not disclose them to any third party except as section 2.2 permits, and you will use them only as section 4.2 permits. For customers, section 9 of the End User Agreement also applies.
4.5 Trademarks. "Savvy Dealer," "SavvyChat," "Savvy Warehouse," and our logos and product names are trademarks of Savvy Dealer, Inc. You may not use them without our prior written consent.
4.6 Feedback. If you send us suggestions, ideas, or feedback about the Platform, we may use it without restriction or compensation to you.
5. Monitoring, Suspension, and Termination
5.1 Monitoring. We log and monitor access to and activity on the Platform, including logins, page views, searches, exports, downloads, and API calls, to operate and secure the Platform and to enforce these Terms. Exported reports and files may carry an account-specific identifier or watermark. Our handling of personal information is described in our Privacy Policy at savvydealer.com/privacy-policy.
5.2 Suspension. We may suspend or restrict any account or access, immediately and without prior notice, if we reasonably believe it is being used in violation of these Terms, poses a security risk, or is being used by an unauthorized person. Where a Customer Agreement is in effect, we will notify the customer promptly after a suspension and will restore access once the issue is resolved to our reasonable satisfaction.
5.3 Termination. Your right to access non-public parts of the Platform ends automatically when the related Customer Agreement or authorization ends, when you leave the business that authorized your access, or when we terminate your access for violation of these Terms. Sections 3, 4, 5, and 6 through 9 survive any termination.
6. Remedies
6.1 Equitable relief. You acknowledge that any violation of section 2, 3, or 4 would cause Savvy Dealer irreparable harm that money damages could not adequately remedy. Savvy Dealer is entitled to seek injunctive relief, specific performance, and other equitable relief for any actual or threatened violation, without posting a bond and without proving actual damages, in addition to any other remedy available at law or in equity.
6.2 Other remedies preserved. Nothing in these Terms limits Savvy Dealer's rights under the Florida Uniform Trade Secrets Act, the Defend Trade Secrets Act, the Computer Fraud and Abuse Act, 18 U.S.C. section 1030, the Florida Computer Abuse and Data Recovery Act, Fla. Stat. sections 668.801 to 668.805, the Copyright Act, the Lanham Act, or any other applicable law.
6.3 Indemnity. You will defend, indemnify, and hold harmless Savvy Dealer and its affiliates, officers, directors, employees, and agents from any third-party claim, and from all related losses, damages, costs, and reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Platform.
6.4 Whistleblower notice. Nothing in these Terms prohibits any individual from reporting a possible violation of law to a government agency, or from making a confidential disclosure of a trade secret to a government official or an attorney solely to report or investigate a suspected violation of law, or in a document filed under seal in a proceeding, as provided by 18 U.S.C. section 1833(b).
7. Disclaimers and Limitation of Liability
7.1 The Platform and all materials on it are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any data, report, or result will be accurate or complete.
7.2 To the fullest extent permitted by law, Savvy Dealer and its affiliates and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, or data, arising out of or relating to the Platform or these Terms. Our total liability arising out of or relating to the Platform or these Terms will not exceed the greater of one hundred dollars ($100) or the amount you paid us for access to the Platform in the twelve (12) months before the claim arose. For customers, the limitation of liability in the End User Agreement applies instead of this section 7.2.
7.3 Nothing in section 7 limits your liability for a violation of section 2, 3, or 4, or your obligations under section 6.3.
8. Governing Law, Venue, and Disputes
These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and Savvy Dealer submit to the exclusive jurisdiction and venue of the state courts located in Pasco County, Florida, and the United States District Court for the Middle District of Florida, Tampa Division, except that Savvy Dealer may seek injunctive relief in any court of competent jurisdiction to protect its confidential information or intellectual property. Each party waives any right to a jury trial in any action arising out of or relating to these Terms. In any action to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs, at trial and on appeal.
9. General
9.1 Changes. We may update these Terms by posting a revised version with a new "Last Updated" date. If you have an account, we will also notify you of the update by email to the address on your account, so keep it current. A revised version takes effect on the date stated in the notice, which for a material change will be at least thirty (30) days after we send it. Your continued use of the Platform after a revised version takes effect constitutes acceptance. For material changes, we may also require you to accept the revised Terms the next time you log in before you can continue using non-public parts of the Platform. Changes do not apply retroactively to disputes arising before they take effect. For customers, changes that materially reduce a customer's rights are also subject to the notice terms in the End User Agreement.
9.2 Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the rest of these Terms will remain in effect.
9.3 No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
9.4 Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or a successor to our business.
9.5 Entire agreement. These Terms, our Privacy Policy, and, for customers, the Customer Agreement, are the entire agreement between you and Savvy Dealer about the Platform.
9.6 Electronic acceptance. Clicking "I agree," checking an acceptance box, or accessing the Platform after being presented with these Terms is a valid electronic signature and acceptance.
